I use mediacoder. It can transcode pretty much any format (video and audio)

Make sure you download the codec packs. Also- if you have a Dual core- there is a download in there that allows you to use boath cores. On my P4 1.6 GHZ- it transcodes audio at 5 times normal speed- and it does a movie (1 hour 30 minutes) in 2 hrs.......
