your explorer.exe might be corrupted
try this
1 open task manager
2 open CMD
3 in task manager click on explorer.exe and end process
4 in cmd cd to c:/windows
5 rem explorer.exe explorer.back
now windows will copy a clean version from dll cach
6 from task manager File-> new-> explorer
it should run the new clean copy
if any thing dos wrong you can restore the old file explorer.back
OR
try to recover from windows cd
boot into recover mode and extract explorer.ex_ to windows/explorer.exe
good luck

this problem can be caused by a problem with explorer I have had this problem once before I rang up microsoft and they said reinstall windows back into the computer they told me to buy a disc and do it that way they never mentioned how much it costs to do it, so just beware it is very expensive.
I had to send my PC away for a week or so and when I got it back I was still having the same problems as before rang back up microsoft and they said take it back to the shop and they just charged me another amount of money but in the end it is worth getting help from someone that knows how to sort computers out but just a warning to you if you live in the UK do not goto PC World they are ripoffs

well! 7usam who answered on top was approximately right!
but here's some point left out, that you didn't mention dear pal!
any active process that windows have, may cause this error! you would probably start to have this kind of error in sensitive programs, like yahoo! messanger which are using SOCKET services
some kind of adwares or torjans or macros may cause this errors to EXPLORER!
you better try to restore it from windows CD but if it doesn't work it means the same interupter program [virus, backdoor,...] works again and u better have a reinstallation
if u wanted more explanation e-mail me or send me pm in yahoo! messanger
good luck

TRY A SYSTEM RESTORE IF YOU HAVE WIN XP. IF THAT DONT WORK, GO TO MSCONFIG AND DISABLE ALL STARTUP ITEMS. IF THAT DONT WORK, FORMAT/REINSTALL...
