This folder is a image aquisition folder for Windows XP and is a system file. If you have a digital camera or a scanner, when you use the Windows Scanner and Camera Wizard, this folder is needed to temorarily when your transfer images from a camera or scanner.If you try to delete it, Windows File Protection (WFP) will automatically restore it. I wouldn't recommend deleting it. It isn't disrupting your computer.

you can't delete the XEROX folder is because that is where winlogon.exe is located - it cannot cope with the idea of trying to watch a folder that doesn't exist.
Windows does not allow you to have control over some parts of the system - if you are not using windows, and you look at this folder, you'll see it is empty - but the 'Windows Protection' system needs the folder to exist in order to watch and protect any files that exist inside.
Windows really is a crappy system isn't it?

If you have any Xerox products, such as printers, the printer dirver will store in a 'Xerox' folder on your driver C. This driver will be used, if you want to upgarde your driver, or use a local printer on the network.
You might delete Xerox folder form drive C: but I don't recommend you to do so.
