I don't know about VMWare (I haven't used it in a long time), but Linux runs fine with the default settings in Virtual PC 2007 (which you can download for free from Microsoft).

Usually Ubuntu need minimum 256Mb RAM...so your VM need same or more. If you don't have enough H/W u can make VMware use virtual memory.
